SANTA ANA, Calif.--(BUSINESS WIRE)--Sept. 5, 2002--PRO-DEX, INC. (Nasdaq:PDEX
- News) today announced that
Patrick L. Johnson, currently President of the Company's Micro Motors, Inc.
subsidiary, has also been appointed to the position of President and Chief
Executive Officer of the parent company, Pro-Dex, Inc. This appointment is the
latest step in the Company's effort to streamline corporate overhead, maximize
corporate profits and ultimately, shareholder value.
Ronald G. Coss, Chairman of the Board of Pro-Dex commented, "Mr. Johnson
has done an outstanding job re-organizing Micro Motors and returning it to
profitability. He has assembled a talented management team and fully
implemented a new strategic direction for Micro Motors, making him the ideal
candidate to lead the entire Company in the role of President and CEO. Patrick
has proven that his focus is on core business fundamentals, while creating
real value for the Company's shareholders." Mr. Johnson will continue to
perform his duties as President of Micro Motors, while assuming the new
responsibilities of President and CEO of Pro-Dex.
While departing to pursue other personal interests, Frank Zagar, interim
President and CEO, successfully completed the tasks of reorganizing the
Company, relocating the Company's offices from Colorado to California, brought
closure to the divestiture of the Biotrol and Challenge subsidiaries and
expertly restructured the on-going affairs of the Company. Commenting on the
appointment of Patrick Johnson, Mr. Zagar remarked, "Patrick is a true
performer with a cognitive approach to business. Pro-Dex's future is indeed
promising in the capable hands of Patrick Johnson."
With Mr. Johnson's recent appointment, all Pro-Dex management functions are
now being carried out by subsidiary staff members, eliminating stand-alone
corporate parent management positions and related expenses. Earlier in the
year, Micro Motor's Controller, Jeff Ritchey, was appointed CFO and Treasurer
of Pro-Dex. Mr. Johnson stated, "We made tremendous strides in `leaning out'
the entire organization and getting the most out of everyone's contribution to
the Company's performance. The steps we have taken in consolidating corporate
functions we believe will result in a savings of more than a $1 million in the
current fiscal year."
Patrick Johnson, 41, joined Micro Motors in March of 2000 as Vice President
and General Manager and was named as President of the subsidiary in July 2001.
From 1997-2000 he served as Divisional General Manager of Analytic Endodontics,
a division of Sybron Dental Specialties (NYSE:SYB
- News), specializing in the
sale of endodontic products to dental professionals. Previously, he was

circuit board industry. Previously, he was at various corporate and
